These General Terms and Conditions of the NOVALYA Affiliate Program (hereinafter, the "Affiliate Program") are intended to govern the terms and conditions applicable between NOVALLIANCE LIMITED and its affiliates (hereinafter "You" or the "AFFILIATE").
NOVALLIANCE LIMITED, a company incorporated under Irish law, whose registered office is located at POD 2, The Old Station House, 15a Main Street, Blackrock, A94T8P98, registered under number 738197, support@novalya.com (hereinafter referred to as "NOVALYA").
NOVALYA is a software solution available online and offered as a SaaS service, enabling professionals to automate, optimize and structure their prospecting, engagement and lead management activities on social media.
The platform allows professionals to fully leverage the potential of social media, in particular by connecting accounts from third-party platforms, setting up automated actions, managing contacts through an integrated CRM tool, and generating content using artificial intelligence features.
The Affiliate Program is intended to establish a genuine partnership between the AFFILIATE and NOVALYA. It offers the AFFILIATE the opportunity to generate revenue by promoting the NOVALYA platform, with a commission paid for each new customer acquired through them.
You declare that you have read and accepted these terms and conditions prior to joining the Affiliate Program.
These terms and conditions are accessible at all times and shall prevail, where applicable, over any other version or any other conflicting document.
NOVALYA reserves the right to amend these terms and conditions at any time. The applicable version is the one in force on the day the AFFILIATE joins the Affiliate Program.
The purpose of this Affiliate Program is to define the conditions under which NOVALYA authorizes the AFFILIATE to promote NOVALYA to third parties, by means of a personal, unique and traceable affiliate link.
In this context, the AFFILIATE is authorized to recommend NOVALYA in compliance with these terms and conditions, in consideration for the payment of a commission on the sales actually made through them under the conditions set out below.
Enrolment in the Affiliate Program is based on a voluntary decision by the user, evidenced by a specific registration process that is distinct from the mere use of NOVALYA.
The Affiliate Program includes several access levels, the features, eligibility conditions and remuneration arrangements of which may vary, in particular:
The specific terms applicable to each access level are set out in these terms and conditions and may be further specified or supplemented by NOVALYA.
The AFFILIATE acknowledges that the Affiliate Program is a commercial referral scheme and may not under any circumstances be construed as conferring an exclusive right, a mandate of representation, the status of commercial agent, or any other legal relationship other than that of an independent partner.
NOVALYA reserves the right to amend the terms of the Affiliate Program at any time, in particular commission rates, remuneration arrangements and access conditions, subject to informing the AFFILIATES.
Access to the Affiliate Program is reserved to natural or legal persons acting in a professional capacity.
Enrolment in the Affiliate Program is subject to a voluntary action by the user, evidenced by a specific registration through the dedicated interface, distinct from the mere creation of an account on the NOVALYA platform. Such registration entails the full and unreserved acceptance of these terms and conditions.
Access to the Affiliate Program is strictly conditional upon the AFFILIATE's active subscription to a paid offer of the NOVALYA platform. In this regard, the AFFILIATE acknowledges that, throughout the duration of their participation in the Program, they must hold a valid subscription.
In the absence of an active subscription, the user shall not be able to access the Affiliate Program, benefit from an affiliate link, or receive any commission.
NOVALYA reserves the right to accept or refuse any application to join the Affiliate Program, in particular in order to preserve the consistency of its image, the quality of its partnerships and the compliance of promotional practices.
The AFFILIATE's continued participation in the Program is conditional upon ongoing compliance with these terms and conditions and the maintenance of their subscription to the NOVALYA platform.
In the event of termination, suspension or expiry of the AFFILIATE's subscription, for any reason whatsoever, their access to the Affiliate Program shall be automatically suspended or terminated as of right, without notice or compensation.
In such case, the AFFILIATE shall immediately lose the ability to promote the NOVALYA platform and to generate new commissions.
Commissions pending validation as at the termination date may be paid subject to their final validation under the conditions provided herein.
NOVALYA also reserves the right to suspend or revoke access to the Affiliate Program at any time in the event of non-compliance with these terms and conditions, or of conduct that is harmful or likely to damage its image, its interests or those of its users.
The AFFILIATE undertakes to provide accurate, complete and up-to-date information at the time of registration and throughout the duration of their participation in the Program.
Within the framework of the Affiliate Program, NOVALYA provides the AFFILIATE with a personal, unique and traceable affiliate link (hereinafter the "Affiliate Link").
This Affiliate Link makes it possible to identify users who have subscribed to NOVALYA through the AFFILIATE by means of an automated tracking system operated via a specialized third-party tool.
The AFFILIATE acknowledges that this tracking system relies on tracking technologies (in particular cookies, identifiers or any other equivalent mechanism) and may be affected by factors beyond NOVALYA's control, such as browser settings, the use of cookie blockers, a change of device or any other interruption of the user journey.
Accordingly, only the attribution of sales as recorded by NOVALYA's tracking system shall be deemed authoritative for the calculation of commissions.
The AFFILIATE undertakes to:
Any sale made without proper use of the Affiliate Link or that cannot be reliably attributed to the AFFILIATE shall not give rise to any commission.
In the event of a dispute relating to the attribution of a sale, the AFFILIATE may submit a written request accompanied by any relevant supporting evidence (screenshots, exchanges, proof of dissemination) within a maximum period of thirty (30) days from the transaction concerned.
After this period, no claim shall be taken into account.
NOVALYA reserves the right to carry out any necessary verification and remains the sole decision-maker as to the final attribution of commissions.
The Affiliate Program includes several access levels with differing remuneration arrangements:
The specific conditions governing changes to commissions and access to the various levels are defined and updated by NOVALYA, which reserves the right to amend them at any time.
The commission is payable only if all of the following cumulative conditions are met:
No commission shall be payable in the event of payment failure, cancellation, refund or fraud.
Commissions are granted for a limited period of twelve (12) months from the customer's first subscription via the Affiliate Link.
Upon expiry of this period, no commission shall be payable in respect of any subsequent payments by the customer, of whatever nature.
In the event of a change to the customer's subscription (in particular an upgrade to a higher tier), the commission may be maintained within the twelve (12)-month period mentioned above, provided that such change is directly related to the initial subscription.
Additional sales, complementary products or separate services are excluded from the scope of commission.
In order to account for any refunds, cancellations, fraud or payment incidents, commissions are subject to a prior validation period.
Commissions generated during a given month are deemed definitively earned only upon expiry of a period of thirty (30) days from the date of the transaction concerned.
During this period, NOVALYA reserves the right to suspend, adjust or cancel any commission in the event of an anomaly being identified.
Validated commissions are paid on a monthly basis.
Payment is made no later than the fifteenth (15th) of the month following the validation period, provided that the eligibility conditions are met.
By way of example, commissions generated during a given month will be validated the following month, and then paid during the month following such validation.
Payment of commissions is conditional upon:
NOVALYA reserves the right to suspend any payment in the event of doubt as to the compliance of sales or the AFFILIATE's observance of their obligations.
Commissions are paid by bank transfer or by any other means of payment chosen by NOVALYA.
The AFFILIATE acts in the capacity of an independent partner.
This Affiliate Program shall not be construed as creating between NOVALYA and the AFFILIATE any relationship of subordination, partnership, mandate, commercial agency, representation or distribution.
The AFFILIATE carries out their activity with complete autonomy and under their sole responsibility. They freely determine the means, materials and strategies they implement to promote the NOVALYA platform in compliance with these terms and conditions.
The AFFILIATE has no authority to bind NOVALYA, enter into contracts in its name, act on its behalf or represent it in any manner whatsoever vis-à-vis third parties.
The AFFILIATE acts in their own name and for their own account. They are solely responsible for their tax, social security, accounting and reporting obligations relating to the income received under the Affiliate Program.
The Affiliate Program grants the AFFILIATE no exclusive right, no income guarantee and no volume obligation on the part of NOVALYA.
The AFFILIATE acknowledges that their participation in the Affiliate Program does not create any situation of economic dependence in relation to NOVALYA.
The AFFILIATE is solely responsible for the content, messages and materials they distribute in connection with the promotion of the NOVALYA platform.
They undertake to:
Any communication is the exclusive responsibility of the AFFILIATE.
The AFFILIATE undertakes to disclose clearly and unambiguously the promotional nature of their communications, in particular by using terms such as "collaboration", "partnership" or any equivalent wording.
The AFFILIATE undertakes to respect NOVALYA's image, reputation and values.
In particular, they shall refrain from:
The use of paid advertising campaigns (in particular Google Ads, Meta Ads, TikTok Ads or any other similar network) is prohibited without NOVALYA's prior written authorization.
Likewise, the use of third parties to promote the Affiliate Link (in particular influencers, partners, secondary affiliation systems or sub-affiliation) is strictly prohibited without NOVALYA's prior written agreement.
The AFFILIATE shall refrain from purchasing keywords incorporating the NOVALYA trademark, its variations or any similar designation in the context of advertising campaigns (in particular Google Ads), save with NOVALYA's prior written authorization.
The AFFILIATE shall refrain from any abusive, fraudulent practice or any practice contrary to market best practices, in particular:
The AFFILIATE undertakes to comply with the terms of use, rules and policies applicable to third-party platforms (in particular social networks) in the context of their promotional activities.
They acknowledge that any non-compliant use may result in restrictions, suspensions or penalties imposed by such platforms, the consequences of which they alone shall bear.
The AFFILIATE acknowledges that any use of content, in particular content generated or assisted by artificial intelligence tools, is their sole responsibility.
It is incumbent upon them to verify, validate and adapt the content before any dissemination.
NOVALYA may not be held liable for the content disseminated by the AFFILIATE or for the consequences of its use.
Any breach of the obligations set out in this article may result in the immediate suspension or termination of access to the Affiliate Program, without notice or compensation, without prejudice to any action for compensation for the loss suffered.
NOVALYA acts exclusively as a technical service provider within the framework of the Affiliate Program.
As such, NOVALYA may not be held liable for the actions taken by the AFFILIATE in connection with the promotion of the platform, or for any consequences that may result therefrom.
The AFFILIATE acts with complete autonomy, under their sole responsibility. They are solely responsible for the content they disseminate, the messages they communicate and the manner in which they present the NOVALYA platform.
In particular, it is incumbent upon them to ensure that their communications comply with applicable regulations, with the rules of the platforms used and with these terms and conditions.
NOVALYA does not guarantee any result, any performance or any level of income under the Affiliate Program.
The commissions received by the AFFILIATE depend exclusively on their own actions, on their promotional strategy and on external factors beyond NOVALYA's control.
The AFFILIATE further acknowledges that the sales tracking system relies on technical mechanisms that may be affected by elements beyond NOVALYA's control (browser settings, cookies, third-party tools, user journey, etc.).
Consequently, NOVALYA may not be held liable for the absence or loss of attribution of a sale.
Furthermore, the AFFILIATE operates in an environment that is dependent on third-party platforms, in particular social networks. NOVALYA may not be held liable for decisions made by such platforms, such as account restrictions, suspensions or blocks.
Within the framework of the Affiliate Program, NOVALYA is required to collect and process certain personal data relating to the AFFILIATE (last name, first name, corporate name, postal address, email address, telephone number).
These data are necessary for the management of the Affiliate Program, the monitoring of performance and the payment of commissions.
Processing operations are carried out in accordance with the regulations applicable to the protection of personal data.
The data collected are strictly limited to those necessary for the aforementioned purposes and are retained for the period strictly necessary for their processing.
NOVALYA may engage technical service providers or third-party tools for the performance of the Affiliate Program, in particular for performance monitoring and the management of commissions.
Some of these service providers may be located outside the European Union. In such case, NOVALYA ensures that appropriate safeguards are put in place to guarantee an adequate level of data protection.
Moreover, the AFFILIATE acts in a fully independent manner in the context of their promotional activities. As such, they are solely responsible for the data processing operations they carry out in connection with their activity, in particular when they collect or use data relating to prospects or contacts.
NOVALYA may not be held liable for processing operations carried out by the AFFILIATE outside the platform.
In accordance with applicable regulations, the AFFILIATE has the right to access, rectify, erase, restrict and object to the processing of their data, which they may exercise by contacting NOVALYA at the following address: support@novalya.com.
The AFFILIATE acknowledges acting as a data controller for the data they collect in the context of their prospecting activities.
NOVALYA remains the sole holder of all intellectual property rights relating to the platform, its content, its distinctive signs (in particular its name, trademark and domain name), and to all the elements of which it is composed.
Within the framework of the Affiliate Program, NOVALYA authorizes the AFFILIATE, on a non-exclusive basis and for the sole duration of their participation, to use its distinctive signs and communication materials strictly for the purposes of promoting the platform.
This authorization is limited to the needs of the Affiliate Program and may not under any circumstances be construed as a transfer of rights.
The AFFILIATE undertakes not to modify the materials or elements provided without prior authorization, not to use the distinctive signs outside the intended scope and not to infringe, directly or indirectly, NOVALYA's intellectual property rights.
Any unauthorized use may result in the suspension or termination of access to the Affiliate Program, without prejudice to any action for compensation.
The Affiliate Program is entered into for an indefinite duration as from the AFFILIATE's enrolment.
Either Party may terminate it at any time, without justification, subject to a fifteen (15)-day notice period, notified by any written means.
In the event of termination, the AFFILIATE retains the right to receive commissions relating to sales validly attributed before the effective end date of the Program, subject to compliance with these terms and conditions.
However, no commission shall be payable in respect of sales made after termination.
NOVALYA reserves the right to suspend or terminate access to the Affiliate Program as of right, without notice, in the event of the AFFILIATE's breach of their obligations, or of conduct likely to harm NOVALYA, its image or its interests.
In such case, the AFFILIATE undertakes to immediately cease any promotional activity relating to NOVALYA and to remove, as soon as possible, any content or material referring to the platform.
In the event of prolonged inactivity by the AFFILIATE, NOVALYA reserves the right to deactivate their affiliate account.
Inactivity, within the meaning of these terms, shall be deemed to exist where, over a period of six (6) consecutive months, no sale has been validated via the AFFILIATE's Affiliate Link and no traceable promotional activity has taken place, as evidenced in particular by the absence of any clicks or interactions recorded by the tracking system.
NOVALYA reserves the right to assess inactivity on the basis of the data from its tracking system.
The affiliate account may be deactivated after prior notice to the AFFILIATE, without compensation, and shall result in the loss of access to the Affiliate Program as well as the deletion of the Affiliate Link.
Any commissions pending validation as at the deactivation date may be paid subject to their final validation under the conditions provided herein.
In the event of any difficulty relating to the interpretation, performance or termination of this Affiliate Program, the Parties undertake to seek an amicable solution as a matter of priority.
To this end, the Parties agree to engage in good-faith discussions in order to attempt to resolve their dispute as quickly as possible.
Failing an amicable agreement within thirty (30) days from the notification of the dispute by one of the Parties, the dispute may be brought before the competent courts.
This Affiliate Program is governed by Irish law.
It is drafted in the English language.
Should it be translated into one or more languages, only the English version shall prevail in the event of a dispute.
